Ownership - legal information
Both the website www.bereadyfornow.scoreapp.com (the "Website") and other satellite websites unequivocally linked to the Website (the "Satellite Websites") such as: https://.bereadyfornow-eada.scoreapp.com are owned by B Lab Spain. You can find how to contact us in the Contact Us section.
Hereinafter, where applicable, we will jointly and severally refer to the Website, the Satellite Sites and the App as the "Platform".
Acceptance and integrity
The installation, access and/or use of the Platform, as well as its information, services and contents are subject to the applicable regulations and the provisions set forth in these Terms and Conditions of Use and of the Services, the Privacy and Cookies Policies, as well as in any other policy or legal text that regulates, now or in the future, the use of the Platform (the "Legal Terms").
Users of the Platform ("User/s") acknowledge and agree that they have read and understand the Legal Terms. By using the Platform, the User expressly acknowledges and agrees to be bound by them to the extent applicable.
The unlawfulness, invalidity or ineffectiveness of any provision of the Legal Terms shall not affect the effectiveness of the remaining provisions. Such provisions shall be replaced or integrated with others that, being in accordance with the law, meet the purpose of the replaced provisions. The parties waive any claim for damages that may be claimed as a result of this circumstance.
Modification
B Lab Spain reserves the right to modify the Legal Terms. We clarify that, in no case, the modifications of the Legal Terms will apply retroactively, unless expressly indicated for the benefit of our Users and/or to comply with the applicable regulations at any time.
In the case that the Legal Terms are modified, B Lab Spain will make every effort to inform Users, so that they can comply with the new applicable conditions and accept them or refrain from using the Platform and cancel their User account, if any. In any case, it is important that Users regularly check the Legal Terms.
If there is any conflict between these Legal Terms and any previous version of these Legal Terms and, unless otherwise determined, the most recently dated Legal Terms shall prevail.
The Platform
Through the Platform we offer Users a series of services:
Access to sustainability skills or competency assessments through different types of specialized questionnaires for different audiences or roles.
Access to individual reports with a specific evaluation score, recommendations and a selection of content.
Access to proprietary and third-party resources, content and materials related to sustainability.
Access to aggregated analytical data reports for organizations, with indicators, graphs and analysis elements.
Others that may be available in the future on the Platform.
The service does not provide any other access to the Users related to the companies collaborating with B Lab Spain beyond the services offered through the Platform.
The Services are only offered to persons at least 16 years of age.
Registration and access
The registration will be necessary for the provision of certain Services such as, for example, to make an evaluation or to eventually access the Client area of the Web Page.
By registering as a User, you represent and warrant that you are at least 16 years old and have sufficient legal capacity to contract any of the services offered.
In the event that the function is enabled, Users may register through their social networking profiles, e-mailing platforms and the like, without prejudice to the need to complete the data with information that may be required on the Platform.
Notwithstanding the foregoing, to register and maintain the account Users must: provide the requested registration information, which must be current and accurate as set out in the preceding paragraphs; maintain the confidentiality of your user account, which shall be unique and non-transferable; and keep updated all data provided to the Platform must be notified of any changes.
In certain cases, the access and use of the Platform may be modified according to the eventual agreements that B Lab Spain has formalized with collaborating companies.
Use of the Platform
The User agrees to use the Platform in accordance with the law, morality, generally accepted good practices, public order and the Legal Terms. In particular, but without limitation, the User agrees not to use the Platform for illegal purposes, those that are contrary to the provisions of the Legal Terms, to undermine our rights and/or interests, as well as those of third parties, or to otherwise damage, disable, overload or impair the Platform or prevent its normal use.
Users also agree to respect the rights of privacy, intimacy, image and honor of other Users.
We reserve the right to, at any time and without notice, disable, temporarily or permanently, the User's access to the Platform and its contents and Services (including access to the user account) in the event that, in our opinion, the User has violated any provision of the Legal Terms and / or regulations applicable thereto, or there are reasonable doubts about it. Likewise, and in any case, B Lab Spain will be able to carry out the investigation tasks it considers necessary to avoid the above mentioned, including the collaboration with the competent law enforcement agencies.
The User must inform B Lab Spain immediately if a third party uses his/her account without authorization.
Services
Digital sustainability competency assessment questionnaire.
To obtain a score for each of the evaluation areas based on reference models and own methodologies, and those of collaborating entities.
The service is free of charge for: university students, certain organizations that meet certain criteria after registration.
The evaluation questionnaires deliver one or more performance reports with indicative results according to the data collected. The results are expressed in different types of scores and formats.
Management of reports and access to specialized content.
From the Platform's enabled channels, Users may (i) view and/or download customized reports with a summary of performance, and (ii) receive alerts and notifications with relevant information for the User about circumstances, resources, services and recommendations that can improve the development of sustainability competencies, (iii) access tools, resources and content of interest, (iv) interact with other members of the platform and (v) access training programs and specialized workshops according to the needs of each organization or individuals.
Termination
The contractual relationship shall terminate automatically without notice of termination and without compensation of any kind if the User breaches any provision of the Legal Terms.
Responsibility exclusions
In view of the unpredictable situations that characterize technological environments and the Internet, B Lab Spain reserves the right to temporarily suspend the Services, either for technical, security or maintenance reasons.
The suspension of the Services does not confer any right to compensation or indemnity to the User. Nevertheless, B Lab Spain will make its best efforts to limit, whenever possible, any suspension or interruption of the Services.
Furthermore, B Lab Spain reserves the right to implement and make changes, technology migrations and/or updates to the Platform at any time, with or without prior notice, which may affect the accessibility of the Platform.
In this sense, the User accepts that B Lab Spain will not be responsible, as a result of such actions, for the elimination or failure in the provision of certain services or functionalities of the Platform.
B Lab Spain does not represent or warrant that certain results will be obtained after the use of the Services beyond those that are typical of the nature of the Service in question. Consequently, in no event shall B Lab Spain, its representatives, administrators or employees be liable for any incidental, indirect or direct damages, including, but not limited to, any lost profits, consequential damages, loss of profits, data or business opportunity or software errors, whether or not foreseeable and whether or not resulting from or connected, directly or indirectly, with the use of the Platform.
In no case, B Lab Spain will be responsible for those contents, activities, products and/or services that can be accessed through electronic links (including "deep links"), directly or indirectly, related to our Platform. The links included or that may be included in our Platform do not represent any kind of relationship between B Lab Spain and the natural or legal persons owning the web sites that may be accessed through such links, and do not imply any suggestion, invitation or recommendation about the web site or its contents.
B Lab Spain will not be responsible for any loss or damage that the User may suffer as a consequence of the improper use of the Platform or the User's non-compliance with the Legal Terms or instructions provided by B Lab Spain through any communication channel.
Neither will we be responsible for the use of the Platform by minors or the sending of their personal data without permission of their parents or guardians, being in this case the parents or guardians responsible for the responsible use of the Internet by the minors in their charge. For this purpose, we recommend the installation of any of the parental control tools for the responsible and safe use of the Internet.
It is forbidden to create frames ("frames") with web pages or on the web pages of the Platform, unless a written agreement of collaboration.
Intellectual and industrial property
The User acknowledges and agrees that all rights, titles and interests in and associated with the Platform, its contents and software applications, including any modifications, updates and new versions, as well as any distinctive sign (registered or not), know-how, trade secret, intellectual property right, industrial property right (registered or not), domain name or any other industrial or intellectual property right inherent to the Platform are the exclusive property of B Lab Spain and its collaborating companies that hold the respective ownership or any other industrial or intellectual property right inherent to the Platform, industrial property right (registered or not), domain name or any other industrial or intellectual property right inherent to the Platform, are exclusive property of B Lab Spain and the collaborating companies that hold the respective ownerships or are property of third parties and used by B Lab Spain under license and with the due authorization of such third party owners.
In this sense, the User acknowledges and accepts that he/she does not acquire any intellectual or industrial property right by the simple use of our Platform and/or any of its functionalities. Therefore, at no time shall such use be considered as an authorization or license to use the contents of the Platform, including its texts, Legal Terms and policies, for purposes other than those contemplated in the Legal Terms.
As a result of the foregoing, the total or partial reproduction, modification, transformation, copying, distribution, public communication, making available to the public or any other form of exploitation of the Platform, its contents (including its texts and Legal Terms), applications, design and form of presentation of its contents, as well as its source code / object and all those elements that make up its structure and appearance ("look & feel") is prohibited.
Also, the User acknowledges and agrees that it is forbidden to decompile, reverse engineer or make derivative works of the software that supports the operation and access to the Platform and the services contained therein, except where permitted by law.
Failure to comply with any of the provisions herein stipulated shall entail that B Lab Spain shall exercise against the infringer the pertinent legal actions for the defense of its rights, titles and interests, including the possibility of claiming damages.
Attributed rights to B Lab Spain
Users who create an account in B Lab Spain grant us an authorization to use the contents uploaded by Users to the Platform, as long as this does not represent an infringement of their privacy, honor or other fundamental rights that we will preserve in any case.
Users understand and accept that B Lab Spain may monitor any content uploaded by Users in order to check that the Legal Terms are complied with.
Users understand and accept that B Lab Spain may use the contents uploaded by Users, respecting their anonymity, to contribute to the drafting and publication of research and reports related to the subject matter of the platform and with the collaboration of third parties.
Advertising
B Lab Spain reserves the right to include its own or third party advertising on the Platform.
Connection
The Services do not include the network connection (GPRS, Edge, 3G, 4G, 5G or Wifi) necessary for the Platform to work, and each User must contract with the operator of their choice, taking special care with data consumption due to the use of high consumption functionalities such as, for example, the permanent use of the GPS sensor for certain services or bonuses. They also do not include the device (cell phone) necessary for the Platform to work, and each User must purchase the device of his choice.
Force majeure
Any delay or failure by B Lab Spain to perform the Legal Terms will not be considered a breach of the Legal Terms and will be excused to the extent that it is caused by any cause beyond the reasonable control of B Lab Spain, including acts of God, power outages, natural disasters, restrictions by public authorities, inclement weather, strikes, public disturbances, pandemics, outbreaks of previous pandemics or threats of such events occurring.
If after thirty (30) days from the commencement of the force majeure event the force majeure event persists so as to prevent the performance of the Legal Terms, either party may terminate the transaction in question.Reclamaciones
Applicable law and jurisdiction
The interpretation and application of the conditions and policies of the Platform shall be governed by Spanish law.
Without prejudice to the provisions of the Claims section, for the resolution of any dispute that may arise in the interpretation and / or execution of the Legal Terms, the parties submit to the jurisdiction and competence of the courts of the city of Barcelona (Spain), expressly waiving any other forum that may correspond to them.
However, in the event that the applicable regulations for the defense of consumers and users establish the possibility for consumers and/or users to choose the jurisdiction corresponding to their place of residence, they may proceed in accordance with such regulations.
Furthermore, in accordance with Article 14 of Regulation (EU) No 524/2013 on the rules on online consumer dispute resolution, we inform Consumer Users that the European Commission has established an online dispute resolution platform to resolve disputes relating to contractual obligations arising from online sales or service contracts between a consumer resident in the Union and a company established in the Union.
